Your use of Our Site and Services is governed by these terms and conditions, along with any referenced additional terms and policies ("Our Terms").

These terms and conditions, together with any referenced terms and policies ("Our Terms"), form a legally binding agreement between you and WeTaskly, a software service owned by Lupepa Ventures Limited, operating under the name WeTaskly ("WeTaskly", "App", "we", "our", or "us").

Use of Our Site

Our Terms regulate your usage of Our Site and the Services. By accessing Our Site or using our Services, you agree to adhere to Our Terms. Please review Our Terms carefully. If you do not agree, do not book any Professional Services through WeTaskly.

Personal Data

To provide Services, we may collect personal data from you, which is handled in accordance with our Cookies & Privacy Policy. This policy outlines how we collect, use, and protect your personal information, including details on data storage, processing, and your rights regarding personal data.

Eligible Use

By using Our Site or Services, you confirm you are of legal age and capacity to agree to Our Terms. Users under 18 are not eligible to use the Services. If using WeTaskly for a business, you must have authority to bind the business to these Terms and Conditions.

Our Services

WeTaskly facilitates booking and purchasing Services ("Services"). These Services allow you to book various Professional Services provided by independent self-employed professionals ("Service Providers''). WeTaskly acts as the agent for Service Providers and is not responsible for the Professional Services themselves.

Booking and Purchase Process

You can book Services through Our Site by selecting a Service Provider. Upon completion, payment details are required, with payment collected upon Service completion. The Service Fee, which belongs to the Service Provider, is collected by WeTaskly as their agent. WeTaskly provides intermediary services for customer service issues and dispute resolution between users and Service Providers.

Your Responsibilities

When booking a Service, you are responsible for ensuring full payment of the Service Fee, providing suitable premises for Service delivery, ensuring Service Provider safety, and complying with any additional requirements such as presenting a valid Covid-19 vaccination passport if required.

Payment

Service Fees are payable through Our Site. WeTaskly collects payments on behalf of Service Providers and employs secure payment mechanisms. However, we are not liable for any loss due to unauthorised access to your payment information by third parties.

Accepted payment methods include cash, credit card, and electronic transfer and/or Others as may be presented by WeTaskly. For larger projects, a deposit may be required, subject to agreement between you and the Service Provider.

Prices

Service Prices vary by Service type and Provider. Prices may change, but booked Services retain their agreed Price. All fees and charges are exclusive of GST where applicable, or unless specified otherwise.

Cancellations and Refunds

Our cancellation policy allows free cancellations if a Service Provider is unavailable or for advanced booking services. Refunds for advanced bookings are processed to the user's wallet. Cancellations due to reasons other than Service Provider unavailability may incur a cancellation fee.

Refunds are subject to conditions, including not receiving a full refund if the user cancels a booking before the Provider accepts it, or if minor inconveniences or delays occur during the Service.

Extensions and Delays

Service extensions are subject to Provider availability and additional charges. Delays exceeding 10 minutes may result in Service termination without adjustment to the Service Price, at the Provider's discretion.

WeTaskly's Role

WeTaskly introduces users to Service Providers but does not guarantee Provider reliability, quality, or suitability. WeTaskly is not liable for Service Provider actions, qualifications, or the outcome of the Professional Services provided.

Prohibited Use

Services are for personal, non-commercial use. Prohibited activities include inappropriate behavior, privacy rights violations, and unlawful conduct. WeTaskly reserves the right to terminate access to Services for users engaging in prohibited activities.

Intellectual Property

WeTaskly's intellectual property, including logos and trademarks, is protected and cannot be used without permission. Any unauthorized use may result in legal action.

Disclaimer

WeTaskly facilitates interactions between users and Service Providers but is not responsible for Service fulfillment or Provider performance. Users accept all risks associated with using the Platform, including interactions with Service Providers.

Indemnity

Users agree to indemnify WeTaskly against any claims, costs, damages, or liabilities arising from misuse of the Services, violation of Our Terms, or disputes with Service Providers. This includes legal costs incurred in defending against such claims.

Modification and Termination

WeTaskly may modify or terminate Services at any time with notice. Users must cease use if they do not agree to changes. WeTaskly reserves the right to change, suspend, or discontinue any aspect of the Services, including features and availability, at any time.

Severability

If any provision of Our Terms is deemed invalid, the validity of the remaining provisions shall not be affected. The parties shall replace the invalid provision with a valid provision that achieves the same or similar economic effect.

Governing Law and Jurisdiction

Our Terms are governed by Uganda law. Any disputes shall be resolved exclusively by the courts of Uganda. For inquiries, please contact info@wetaskly.com.




Terms of Service for Service Providers

These terms detail the obligations and responsibilities of both WeTaskly and you, the Service Provider, on the WeTaskly Platform. Please review these terms along with all associated policies before using WeTaskly.

Service Provider Agreement

This agreement ("Agreement") is between WeTaskly ("We", "Our", "Us") and the Service Provider ("You", "Your"). WeTaskly operates a platform that:

  1. Facilitates customers in requesting and booking Service Providers to deliver services at designated premises as specified by customers.

  2. Provides a platform for Service Providers and customers to connect.

WeTaskly grants Service Providers a revocable, non-exclusive license during the term to access and use the platform for receiving bookings and delivering services to customers, under the terms outlined in this agreement.

During the term, WeTaskly agrees to provide Service Providers access to the platform to accept bookings and provide services.

The Service Provider acknowledges:

  • WeTaskly does not employ Service Providers listed on its platform.

  • WeTaskly does not perform or offer services; its role is limited to providing the platform and support for facilitating interactions between Service Providers and customers.

  • By using the platform, Service Providers agree to comply with all laws and regulations related to their services and engagements with customers.

WeTaskly reserves the right to amend this agreement at any time during the term. Continued use of the platform constitutes acceptance of any amendments.

WeTaskly may terminate this agreement with any Service Provider at any time, with immediate effect.

Service Provider Responsibilities

As a condition for accessing booking requests through WeTaskly, Service Providers must:

  • Have access to professional equipment necessary for service provision.

  • Provide all required documentation.

  • Be registered as a Service Provider on the WeTaskly platform.

  • Accept and adhere to the terms and conditions of this agreement.

Once a booking request is accepted, the Service Provider must either perform the booking by delivering services as agreed, or promptly cancel if unable to attend.

By accessing and using the platform, the Service Provider agrees to abide by the terms and conditions of this agreement.

Bookings

WeTaskly and Service Providers acknowledge:

  • Service Providers access bookings solely through the platform and not through other means.

  • WeTaskly does not participate in any contractual agreements between customers and Service Providers resulting from bookings.

  • WeTaskly does not warranty or represent the services provided by Service Providers.

  • Service Providers are solely responsible for service quality and safety.

  • WeTaskly may, at its discretion, place booking requests on behalf of customers who contact WeTaskly directly.

Service Fees

Service Providers acknowledge:

  • Payment is based on a gross amount for completed bookings.

  • WeTaskly determines the exact payout, typically between 70-85% of the gross booking amount.

  • Service Providers forfeit payment for cancelled bookings unless due to customer fault.

  • WeTaskly processes payments to Service Providers after deducting any applicable fees.

Payouts

WeTaskly holds service fees on behalf of Service Providers until processing dates, after which payments are made directly to Service Providers' designated accounts.

Service Providers are only paid for completed bookings; no payments are made for weeks with no completed bookings.

WeTaskly may modify fee collection and payment processes at its discretion.

GST, Taxes, and Fees

Service Providers are responsible for all taxes on service fees under this agreement and indemnify WeTaskly for any associated liabilities.

Expenses

Service Providers are responsible for all costs related to service delivery, including equipment, travel, and platform use.

WeTaskly does not reimburse Service Providers for any expenses.

Ownership and Intellectual Property Rights

WeTaskly retains ownership of the platform and all associated intellectual property rights.

Damage and Loss

Service Providers are liable for any damage caused to property or harm to customers during service provision.

WeTaskly does not reimburse Service Providers for any such liabilities.

Equipment

Service Providers are responsible for owning, leasing, or accessing necessary equipment.

Maintenance and insurance costs for equipment are the Service Provider's responsibility.

Service Provider Terms of Use

Service Providers agree to:

  • Act with due care and skill.

  • Maintain professionalism and courtesy with customers.

  • Refrain from acts detrimental to WeTaskly's reputation or customer relations.

  • Comply with all laws and standards while performing services.

Privacy

Service Providers must respect customer privacy and handle personal information according to WeTaskly's Privacy Policy.

Health and Safety

Service Providers are solely responsible for their safety during service provision.

WeTaskly does not provide safety training and may suspend accounts in unsafe situations.

Modification, Suspension, and Termination

WeTaskly may modify or suspend platform access at any time without notice.

Terms of Use

Service Providers must maintain service quality and hygiene standards during service provision.

Termination

WeTaskly or Service Providers may terminate this agreement at any time.

Upon termination, Service Providers must cease using the platform and return any WeTaskly property.

Insurance

Service Providers must maintain necessary insurance and provide proof as requested by WeTaskly.

Non-compete Restrictions

Service Providers must not solicit customers outside of the platform.

Relationship of Parties

This agreement does not establish an employment or partnership relationship.

Liability and Indemnity

Service Providers indemnify WeTaskly against any losses incurred due to service provision.

Dispute Resolution

Disputes must be resolved through a defined process or mediation.
